This Subscription Agreement (the “Agreement”) is made and entered into by and between 1MINDDESIGN (the “Provider”), and the subscriber (“Subscriber”).
The Provider offers four categories: Web Design, Digital Marketing, Managed Hosting, and Site Maintenance. Each category has three plans: Basic, Standard, and Premium.

All Plans
The Subscriber agrees to pay the fees associated with the selected plan on a monthly or annual basis, as applicable. Payment is due in advance of each billing period. The Subscriber’s credit card will be charged on a recurring basis until the subscription is canceled or changed by the Subscriber. If the Subscriber chooses to pay annually, the subscription fee will be charged in full at the beginning of the subscription term.
Web Design Plans
Setup Fee Explanation
Definition and Coverage:
The setup fee is a one-time, upfront charge that initiates the website development process under our Web Subscription Plans. This fee is designed to cover a range of preliminary activities essential for the successful commencement of your project. These activities include, but are not limited to:
Non-Refundable Nature:
The setup fee is non-refundable. This policy is due to the immediate allocation of resources and labor towards the activities listed above, upon payment. The fee ensures commitment from both parties and covers the initial costs incurred in the early stages of the website development process.
Importance of Commitment:
Payment of the setup fee signifies the subscriber’s commitment to moving forward with the website project. It allows us to allocate the necessary resources and expertise to ensure a smooth and efficient development process.
By paying the setup fee, subscribers acknowledge and agree to the terms outlined here, including the non-refundable nature of the fee. This is an integral part of our commitment to delivering quality service and a successful website launch for our clients.
Completion Process
Setup Fee and Process Initiation:
Upon payment of the non-refundable setup fee, the process of website creation will commence. The following steps are critical to ensure the timely completion of your website:
Information Submission: Within 7 days of setup fee payment, the subscriber must provide all necessary information and materials required for website development. This includes, but is not limited to, text content, company logo, specific images, and any other pertinent details or preferences.
Feedback and Approvals: Prompt feedback and approvals are essential. The subscriber is expected to respond to requests for approval or revision within 5 business days to maintain project momentum.
Regular Updates and Communication: Regular updates will be provided, and the subscriber is encouraged to maintain open communication for any queries or changes.
Time Frame for Information Provision:
The subscriber is allotted a period of 30 days from the date of the setup fee payment to provide all required information. Failure to do so within this time frame may result in project delays or additional charges.
Consequence of Delay:
If the subscriber fails to provide the necessary information within the 30-day period, the agreement may be subject to review, and the provider reserves the right to void the agreement due to non-compliance. Please note that the setup fee is non-refundable.
Commencement of Monthly Fees:
Monthly fees will begin once the website is completed and goes live. The timeline for completion largely depends on the timely cooperation of the subscriber as outlined above.
By adhering to this process, we ensure a smooth and efficient website development experience, aligning with our commitment to quality and client satisfaction.
Subscribers have the opportunity to pause their payments for a period of one month, once every year. This benefit is available across most of our subscription plans. To be eligible for this option, subscribers must first complete the initial six months of their subscription.
For Web Design Plans
This option is only available to the Web Design Plans with Hosting.
For Web Design w/ Hosting and Hosting Plans
During the pause, the connected website will be displayed as a “Site Under Maintenance” page, ensuring a seamless transition for your online presence.
For Digital Marketing and Maintenance Plans
Clients subscribing to our digital marketing* and maintenance plans have the flexibility to pause their monthly payments at any time.
*It’s important to be aware that pausing digital marketing payments can impact the effectiveness of ongoing marketing strategies. While we strive to accommodate your needs, please consider the potential effects on your marketing momentum and campaign outcomes when deciding to pause your subscription.
For Web Design w/ Hosting and Hosting Plans
Subscriber acknowledges that if they choose to pause their subscription, they can resume it at any time by restarting their payment. In the event of a payment pause, if the Subscriber fails to restart their payment after two (2) months, Provider may suspend the Site. Additionally, if the Subscriber fails to make a monthly subscription payment, without a prior request for a payment pause, and the payment remains outstanding for 30 days, Provider reserves the right, at its discretion, to suspend the Site. To reactivate the Site, whether due to a suspension from a payment pause or non-payment, the Subscriber must pay a $250 reactivation fee, in addition to the first month of their selected plan. Provider may terminate this Agreement and delete the Site if the Subscriber does not reactivate the Site within 30 days of the suspension. Provider shall have no liability to Subscriber or any third party for any damages that may result from such suspension or termination.
Digital Marketing, Maintenance, and Hosting Plans
Subscribers are permitted to upgrade or downgrade these plans exclusively at the conclusion of their current subscription month. Adjustments to plans will be effective from the start of the following subscription period.
For Web Design w/ Hosting
Upgrades to Web Design plans necessitate a prior consultation to discuss the specific requirements and changes. Downgrades of Web Design plans are only permissible after the completion of one year of the current subscription and will be a downgrade to Hosting only.
The Subscriber may terminate their subscription at any time by providing written notice to the Provider. The Provider may terminate this Agreement at any time for any reason upon written notice to the Subscriber.
Subscribers of the Manage Hosting or Site Maintenance plans have the option to terminate their subscription at any time by providing written notice to the Provider. However, Subscribers of the Web Design plans must pay for the first year of subscription before being eligible to terminate plan. If a Subscriber terminates their subscription, they will not be entitled to a refund for any portion of the subscription fee already paid, except for any prepaid but unused portion of an annual subscription.
The Provider may terminate the Subscriber’s subscription at any time for any reason. In such a case, the Provider will provide the Subscriber with a prorated refund for any prepaid but unused portion of the subscription fee.
The Provider reserves the right to modify the terms of this Agreement at any time. Such modifications shall be effective immediately upon posting on the Provider’s website. The Subscriber’s continued use of the Provider’s services after any modification shall be deemed to be the Subscriber’s acceptance of the modified terms.
This Agreement constitutes the entire agreement between the Provider and the Subscriber with respect to the subject matter hereof and supersedes all prior and contemporaneous communications and agreements, whether oral or written.
