Subscription Agreement

Effective Date: March 3, 2025

This Subscription Agreement (the “Agreement”) is entered into between 1MindDesign (“Company,” “We,” or “Us”) and the Client (“You,” “Your,” or “Subscriber”). By subscribing to our services, You agree to the terms outlined below.

1. SERVICE OVERVIEW

1MindDesign provides subscription-based services, including:

• Web Design (with AI-assisted automation)

• Website Maintenance (for performance, security, and updates)

• Digital Marketing (AI-powered growth strategies)

• AI & Automation (Chatbots, CRM integrations, workflow automation)

• Logo Storage (Secure cloud-based access)

Each service is available in three tiers: Basic, Standard, and Premium.

Setup Fees Apply for Web Design:

• Basic: $199 (One-Time)

• Standard: $299 (One-Time)

• Premium: $399 (One-Time)

2. PRICING & BILLING

Monthly Billing

• Your first payment includes the one-time setup fee (if applicable) plus the first month’s subscription.

• Subsequent payments are charged monthly on the same date as Your original subscription.

Annual Billing (2 Months Free Discount)

• If You opt for annual billing, You receive 2 months free on Your subscription.

• Payment is due in full at the start of the annual term.

3. AI FAIR USE POLICY

1MindDesign maintains an AI fair usage policy to prevent abuse and ensure reliable service for all clients.

Fair Use Limits:

• AI automation is subject to fair usage limits. If a subscriber exceeds 10X the average usage of similar subscribers, We may:

  • Require an upgrade to a higher-tier AI plan, or

  • Charge an additional fee based on resource usage.

Excessive AI usage includes overloading chatbots, high-volume AI-generated emails, or excessive automation workflows beyond fair use limits.

4. AI-GENERATED CONTENT & OWNERSHIP

• AI-generated content (website text, marketing emails, chatbot scripts, etc.) is licensed for use within Your active subscription.

• If Your subscription is canceled:

  • AI-generated automations, chatbots, and content creation will be disabled.

  • You retain access to website designs but must purchase Your own software licenses for AI-powered tools.

• 1MindDesign does not guarantee exclusivity of AI-generated content, as AI tools pull from publicly available data sources.

5. CLIENT RESPONSIBILITIES

You agree to:

• Provide necessary content, branding assets, and approvals within 14 days of signing up.

• Use the Lead Management App and Calendar Booking System (if included in Your plan) as instructed.

• Ensure accurate contact and billing information is provided at all times.

Failure to provide necessary materials may delay project completion and does not exempt payment obligations.

6. LATE PAYMENTS, SERVICE SUSPENSION, & REACTIVATION POLICY

1MindDesign subscriptions must be paid on time to ensure continued service. If payment is late, the following policies apply:

• Late by 14 days: Your services may be temporarily suspended. A $50 reactivation fee will be required to restore services.
  
  
• Late by more than 45 days: All services, AI automation, and website access will be permanently disabled. A full setup fee will be required for reinstatement, and services may be subject to new pricing or terms.
  
  

1MindDesign is NOT responsible for any lost content or data due to late payment or service termination. Clients are responsible for ensuring payments are made on time to prevent disruptions.

7. WEBSITE BUYOUT OPTION (FOR WEB DESIGN SUBSCRIBERS)

If You wish to cancel Your Web Design Plan and move Your website to another platform, You must:

• Pay a website buyout fee to obtain full ownership.

• Purchase Your own software licenses for premium tools (e.g., Elementor Pro, AI integrations).

Buyout Fees Based on Subscription Duration

• Less than 12 months: Higher buyout fee applies due to early termination.
  
  
• 12+ months: Discounted buyout fee as appreciation for long-term subscribers.
  
  
• The buyout fee covers file transfer, site packaging, and delivery but does not include ongoing support, hosting, or updates.
  
  

Once the buyout is complete, all AI automations will be deactivated unless You retain AI services separately.

8. AI-POWERED MARKETING LIMITATIONS

• AI-generated ads, emails, and chatbot responses may be subject to platform-specific restrictions.

• 1MindDesign is not responsible for:

  • Third-party account suspensions due to AI-generated marketing content.

  • Rejection of AI-powered ads or emails due to platform policies (e.g., Google Ads, Facebook, email spam filters).

  • Algorithm changes affecting SEO rankings or ad performance.

Clients should review and approve AI-generated marketing materials before publishing.

9. FORCE MAJEURE

1MindDesign is not liable for service interruptions caused by circumstances beyond Our control, including:

• Internet or hosting provider failures

• Natural disasters, cyberattacks, or pandemics

• Third-party software downtime (e.g., Elementor, AI APIs, hosting providers)

10. NON-COMPETE AGREEMENT

By subscribing, You agree not to replicate, resell, or create a competing AI-powered service based on Our proprietary workflows for 12 months after canceling. Violation may result in legal action and immediate termination of Your services.

11. CONFIDENTIALITY AGREEMENT

• Both parties agree to maintain confidentiality of shared information, including:

  • Client brand assets, logos, and website data

  • AI automation settings and workflow configurations

  • Proprietary AI-generated marketing materials

• 1MindDesign will not disclose, sell, or misuse client data.

12. AGREEMENT ACCEPTANCE

By subscribing to any 1MindDesign service, You acknowledge and agree to this Agreement.
